Terms of Service

These Terms govern your access to and use of TrackID, including our website, iOS app, Electron desktop app, ID Studio companion app, APIs, upload and streaming features, sharing tools, profiles, notifications, and related services (together, the "Service"). The Service is operated by TrackID GmbH, Mehringdamm 103, 10965 Berlin, Germany ("TrackID", "we", "us", or "our").
By creating an account, accessing shared content, uploading content, or using the Service, you agree to these Terms. If you use the Service for a company, label, artist, collective, or other organization, you confirm that you have authority to bind that organization.
These Terms incorporate our Acceptable Use Policy, Copyright / IP Policy, and Privacy Policy. If there is a conflict, these Terms control unless a policy says it controls for that subject.
1. Accounts and Eligibility
You must be legally capable of entering into a binding agreement. If you use the Service for another person or organization, you are responsible for making sure your use is authorized.
You are responsible for:
- keeping account access, one-time codes, sessions, devices, and invite links secure;
- providing accurate account, profile, and contact information;
- all activity under your account, including uploads and sharing by people you invite or authorize;
- promptly telling us at legal@trackid.com if you suspect unauthorized access, infringement, impersonation, leaked content, or other misuse.
We may refuse, suspend, or terminate accounts where permitted by law, including where an account appears abusive, fraudulent, infringing, inactive, risky, or inconsistent with these Terms.
2. Usernames, Handles, and Profiles
Usernames, handles, profile URLs, public profile fields, avatars, social links, and other identifiers help people find or recognize you on TrackID. They are not your property and do not create trademark, domain-name, or other ownership rights against TrackID.
Where lawful, TrackID may reserve, reject, reclaim, rename, reassign, or change a username or handle at any time, including for trademark, impersonation, abuse, security, product, inactivity, namespace-management, or platform-integrity reasons. We will try to avoid unnecessary disruption, but we may act without advance notice when needed to protect users, rightsholders, or the Service.
You must not use a profile, name, avatar, link, metadata field, or handle to mislead people, impersonate someone, violate rights, or suggest endorsement that you do not have.
3. The Service
TrackID helps musicians, producers, labels, managers, collaborators, and listeners upload, manage, discuss, and share music, including unreleased music. Features may include:
- audio uploads, original files, playback files, artwork, metadata, and encoding or transcoding;
- private, link-only, invite-only, and public sharing choices;
- invite links, share tokens, direct grants, downloads, and recipient email invitations;
- public profiles, usernames, network connections, likes, notes, comments, and notifications;
- DAW and project metadata from desktop and ID Studio workflows;
- local and offline cache features in supported apps.
You control many sharing settings, but you remain responsible for choosing appropriate recipients and visibility. Link-only and invite-based access can be forwarded, copied, screenshotted, downloaded where enabled, or otherwise misused by recipients. TrackID provides controls, not a guarantee that every recipient will keep content confidential.
Back up master files outside TrackID. The Service is not an archive, vault, or permanent storage guarantee.
4. Your Content
"User Content" means anything you upload, submit, create, store, share, or make available through the Service, including sound recordings, compositions, lyrics, samples, stems, remixes, covers, artwork, names, likenesses, metadata, DAW metadata, notes, comments, profile data, links, and related materials.
You keep ownership of your User Content. TrackID does not claim ownership of your music.
You grant TrackID a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, copy, upload, download, stream, transmit, display, perform, encode, transcode, analyze, cache, back up, moderate, remove, and otherwise process User Content only as needed to:
- provide, maintain, secure, troubleshoot, and improve the Service;
- generate playback versions, waveforms, previews, thumbnails, metadata, search indexes, and technical diagnostics;
- support sharing, invite links, downloads, comments, likes, notifications, profiles, and access controls according to your visibility choices;
- detect abuse, malware, spam, security threats, policy violations, infringement, and unauthorized access;
- comply with law, enforce these Terms, respond to notices, and protect users, rightsholders, TrackID, and the public;
- use service providers and processors who help us operate the Service under appropriate obligations.
This license lasts as long as needed for those purposes. When you delete User Content or your account, we will stop making it available in the ordinary Service after reasonable processing time, subject to backups, caches, legal obligations, dispute records, security records, and copies already accessed or saved by other users.
TrackID will not use your User Content to train AI models, build datasets for AI training, or authorize third parties to do so unless you have the rights to permit that use and you explicitly opt in through a TrackID-approved process.
5. Your Rights and Warranties
You represent and warrant that you own or have all rights, licenses, consents, and permissions needed for your User Content and for how you use and share it through TrackID. This includes rights for:
- sound recordings, compositions, lyrics, arrangements, samples, loops, stems, remixes, edits, covers, interpolations, and demos;
- artwork, photos, videos, names, trademarks, logos, likenesses, biographies, credits, and metadata;
- collaborators, vocalists, producers, writers, performers, labels, publishers, managers, clients, and other rightsholders;
- sharing with private collaborators, invited recipients, link visitors, public profile visitors, download recipients, and anyone else you authorize.
You must not upload or share leaked, stolen, unreleased, confidential, embargoed, or third-party material unless you have permission. You are responsible for royalties, clearances, reporting, union obligations, publishing permissions, neighboring rights, and contractual restrictions that apply to your User Content.
If your User Content or use of the Service causes claims, losses, or expenses because you breached these Terms, you agree to indemnify TrackID to the extent permitted by law.
6. Acceptable Use
You must follow the Acceptable Use Policy. Among other things, you must not:
- infringe copyrights, trademarks, privacy rights, publicity rights, trade secrets, or other rights;
- upload leaked, unauthorized, stolen, or confidential music;
- harass, threaten, impersonate, deceive, spam, or abuse invite and messaging features;
- scrape, crawl, fingerprint, data-mine, build datasets from, or train AI models on User Content without rightsholder authorization and explicit TrackID-approved opt-in;
- bypass access controls, abuse invite links or tokens, reverse engineer the Service, introduce malware, or interfere with security.
We may remove content, restrict features, disable links or downloads, suspend accounts, terminate accounts, preserve records, report conduct, or take other lawful action for violations.
7. Copyright and IP Notices
Our Copyright / IP Policy explains how to submit notices, how we may handle notices and counter-notices, and how we treat repeat infringers.
TrackID may remove or restrict access to content when we receive a valid infringement notice, have reason to believe content is unauthorized, or need to protect rightsholders or the Service. More than two valid infringement notices or removals may qualify a user as a repeat infringer. We may suspend or terminate immediately for egregious leaks, bad-faith uploads, large-scale infringement, repeat misuse, or clear platform abuse.

8. TrackID IP and Software
The Service, software, user interface, design, logos, trademarks, documentation, and all non-user content are owned by TrackID or our licensors. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose.
You must not copy, sell, sublicense, rent, distribute, modify, create derivative works from, reverse engineer, decompile, bypass protections in, or misuse the Service except where the law does not allow us to restrict that activity.
Apps may include third-party software and open-source components subject to their own licenses. App store terms may also apply.
9. Privacy and Security
Our Privacy Policy explains how we process personal data.
No online service is perfectly secure or confidential. We use reasonable technical and organizational measures, but you should only upload and share content in ways that match your risk tolerance and rights obligations. Keep copies of important files outside TrackID.
10. Payments and App Stores
If TrackID offers paid features, pricing and plan terms will be shown in the Service or applicable purchase flow. App Store or other platform purchases may be governed by the platform's payment, refund, and subscription terms.
Unless required by law or stated in a purchase flow, fees are non-refundable after the purchased service period or feature has started. For billing issues, contact legal@trackid.com or use the applicable platform refund process.
11. Changes, Availability, and Beta Features
We may add, change, suspend, or remove features, apps, integrations, limits, and beta functionality. We may also change how uploads are encoded, stored, cached, displayed, shared, or delivered where needed to operate and improve the Service.
We do not guarantee that the Service will be uninterrupted, error-free, compatible with every device or DAW, or available forever. We may perform maintenance, address security issues, comply with law, or discontinue parts of the Service.
12. Termination
You may stop using the Service at any time and may request account deletion as described in the Privacy Policy.
We may suspend, restrict, or terminate your access where permitted by law, including for Terms violations, legal risk, non-payment, security risk, inactivity, infringement, abuse, or harm to TrackID, users, rightsholders, or the Service.
After termination, your right to use the Service ends. We may delete, anonymize, or retain data as described in the Privacy Policy and as needed for legal, security, accounting, enforcement, backup, and dispute purposes.
13. Disclaimer of Warranties
The Service is provided "as is" and "as available." To the extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted operation.
TrackID does not guarantee that sharing controls will prevent all copying, downloads, recordings, forwarding, screenshots, unauthorized access, or other recipient misuse.
14. Limitation of Liability
Nothing in these Terms limits liability for intent, gross negligence, injury to life, body, or health, mandatory statutory liability, or other liability that cannot be limited by law.
For simple negligence, TrackID is liable only for breach of material contractual obligations and only for typical, foreseeable damages. A material contractual obligation is one whose fulfillment makes proper performance of the contract possible and on whose compliance you regularly rely.
To the extent permitted by law, TrackID is not liable for indirect losses, lost profits, lost revenue, lost opportunities, reputational harm, loss of data where you failed to keep reasonable backups, or claims caused by your User Content, recipients, collaborators, or third-party services.
15. Governing Law and Jurisdiction
German law applies, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, mandatory consumer protection laws of your country of residence remain unaffected.
If you are a merchant, legal entity under public law, or special fund under public law, exclusive jurisdiction is Berlin, Germany. Otherwise, statutory venue rules apply.
16. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will use reasonable means to notify users, such as in-product notice, email, or a prominent website notice. Continued use after changes become effective means you accept the updated Terms, unless mandatory law requires a different process.
